NXP Semiconductors (NXP) does not warrant that any EDA file and any other accompanying information (collectively referred to as the Model) accurately or fully represents the operating characteristics and specifications of the semiconductor products to which the Model relates. Moreover, the Model is furnished on an "as is" and "with all faults" basis, and without support or warranty of any kind. NXP disclaims all warranties, whether expressed or implied or statutory, including without limitation all implied warranties of non-infringement, merchantability and fitness for any purpose, and those arising from a course of dealing or usage of trade.

NXP does not convey any license under its or any third party's patents, copyrights or other intellectual property or proprietary rights.

You and your company assume any and all risks and liability arising out of the application or use of the Model.

In no event shall NXP be liable for any direct, indirect, special, consequential or incidental damages, however caused, whether in warranty, contract or tort (including negligence), strict liability or other legal theory, including, without limitation, for lost profits, business interruption, or corruption or loss of data or information, arising out of or in connection with the use of or the inability to use the Model, even if NXP has been advised of the possibility of such damages.

NXP provides the Model as a courtesy to our customers. You and your company shall not distribute, convey, sell, or give the Model to anyone else without receiving prior written permission from NXP.

NXP reserves the right to make changes without notice to the Model to improve reliability, function, or design.

Please be aware that your receipt and subsequent use of the Model shall serve as acceptance of these terms and conditions. If you do not accept these terms, return or destroy the Model immediately.
